AIEB provides AI-native video production infrastructure and related services ("Services"). Our platform enables scalable video production through API access, multi-model orchestration, and automated content generation systems. Access to certain features may require registration and approval.

3. Account Registration

To access certain Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Generate or distribute harmful, offensive, or illegal content

5. Intellectual Property

5.1 Our Property

5.2 Your Content

You retain ownership of content you upload to our Services. By uploading content, you grant us a non-exclusive, worldwide license to use, process, and store that content solely to provide and improve our Services.

5.3 Generated Content

Subject to compliance with these Terms and any applicable subscription agreement, you may own or have rights to content generated using our Services, as specified in your service agreement.

6. API Terms

If you access our Services via API, you additionally agree to:

• Comply with all API documentation and rate limits
• Keep API keys secure and not share them publicly
• Not attempt to circumvent usage limits or restrictions
• Provide appropriate attribution where required
• Accept that API features may change with notice

7. Payment Terms

Certain Services may require payment. By subscribing to paid Services, you agree to pay all applicable fees as described in your service agreement. Fees are non-refundable except as required by law or as specified in your agreement. We reserve the right to modify pricing with reasonable notice.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIEB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless AIEB and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in New York County, New York.

13. Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us. If we cannot resolve the dispute within 30 days, either party may proceed with formal dispute resolution as permitted by law.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to reflect the parties' original intent as closely as possible.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and AIEB regarding the Services and supersede all prior agreements and understandings.
